1. Introduction

Welcome to KARN STACK. These Terms of Service ("Terms") govern your use of our services. KARN STACK is a sole proprietorship that specializes in building custom software solutions, web applications, and mobile applications for startups and enterprises.

By engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

2. Services

KARN STACK provides custom software development services, including but not limited to:

  • Web application development
  • Mobile application development
  • Custom software solutions
  • Software consulting and technical advisory
  • System integration and API development

The specific scope of services will be defined in individual project agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for project completion
  • Respond to requests for feedback and approvals in a timely manner
  • Provide access to necessary systems, accounts, and resources as agreed upon
  • Make timely payments according to the agreed-upon payment schedule
  • Ensure you have the right to use any materials, content, or intellectual property you provide

4. Intellectual Property

Upon full payment for services rendered, all custom code and deliverables created specifically for your project will be transferred to you, unless otherwise specified in the project agreement.

KARN STACK retains ownership of:

  • Pre-existing code, frameworks, and tools
  • General methodologies, techniques, and know-how
  • Any reusable components or libraries developed during the project that can be applied to future projects

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • Invoices are due within 14 days of receipt unless otherwise agreed
  • Late payments may incur interest charges
  • Work may be suspended for accounts with overdue payments
  • A deposit may be required before work commences

6. Confidentiality

KARN STACK agrees to maintain the confidentiality of your proprietary information and will not disclose such information to third parties without your consent. All client data is stored in an encrypted manner and kept strictly confidential.

Data and information from one client is never shared with other clients. Each client's information is maintained in complete isolation.

7. Warranties and Disclaimers

KARN STACK will perform services with reasonable care and skill. However, software development is complex, and we cannot guarantee that deliverables will be completely error-free.

Services are provided "as is" without any warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, KARN STACK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to KARN STACK for the specific services giving rise to the claim.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • KARN STACK will provide all completed work and work-in-progress
  • Both parties will return or destroy confidential information as requested

10. Changes to Terms

KARN STACK reserves the right to modify these Terms at any time. We will notify clients of any material changes via email. Continued use of our services after such changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which KARN STACK operates, without regard to its conflict of law provisions.
